Why Sterling flagged it

  • Three symbol/direction pairs cleared the three-member threshold in the 14-day STOCK Act window — HD, MSFT and ADBE, all buys (qualifying_count: 3).
  • The disclosed direction split is 3–0. No sell-side pair qualified, against April windows in our own coverage that produced two-sided and split clusters in the same mega-cap complex.
  • Dollar composition is the anomaly: HD and MSFT both total $48,501.50 at disclosed midpoint — identical to the cent across two unrelated tickers — with ADBE at $24,001.50. Total disclosed mid across all three clusters: $121,004.50, roughly $16.2k per member in the larger two.
  • News pressure flagged separately at 273 tickers with six or more articles in 48 hours. Of the six highest-volume names in the sample (GTLL 110, NVDA 86, CA 65, GOOG 51, BNO 48, MSFT 46), only MSFT overlaps the disclosure clusters; HD and ADBE do not appear in that top sample.
  • No insider or institutional source corroborates the pattern — Form 4 buy and sell clustering both returned zero qualifying clusters, and the 45-day 13F check showed no coordinated rotation. Sector breadth was not evaluated for a historical scan.

How Sterling got here

  1. Observation

    The 14-day STOCK Act check flagged three qualifying symbol/direction pairs, all buys: HD ($48,501.50 total mid, 3 members), MSFT ($48,501.50, 3 members) and ADBE ($24,001.50, 3 members). Zero sell-side pairs qualified.

  2. Cross-check

    The 7-day Form 4 checks returned zero qualifying clusters on both sides, and the 45-day 13F check found no coordinated institutional rotation. Neither the corporate-insider nor the institutional surface shows accumulation in the same names.

  3. Independent confirmation

    The news pressure check flagged at scale — 273 tickers with six or more articles in 48 hours — but the overlap with the disclosure clusters is narrow. MSFT appears in the top-six sample at 46 articles; HD and ADBE do not appear in that sample, so the buying is not obviously attention-driven.

  4. Inference

    Taken together, the evidence favors reading this as routine, band-level allocation across three unrelated names rather than a coordinated positioning shift. The identical $48,501.50 midpoints in HD and MSFT suggest a repeated reporting bracket, and the absence of corroboration from insiders or institutions leaves the cluster unsupported by any second surface.

  5. Status

What would confirm

  • Size escalation in the next 14-day window — disclosed midpoints in HD, MSFT or ADBE materially above the repeated $48,501.50 / $24,001.50 values would separate conviction from band repetition.
  • A second surface flags the same names — a Form 4 buy cluster or a 13F rotation entry in any of the three tickers, both of which returned zero this window, would convert breadth into corroborated accumulation.
  • Cluster persistence with added members — a fourth or fifth disclosing member in the same symbol/direction pair, rather than the three-member minimum, would raise the information content of the breadth reading.
  • Fundamental confirmation into the 20 May prints — LOW (est. $2.97) and TJX (est. $1.02) on 20 May speak to the consumer leg behind the HD cluster; ADI (est. $2.89) and NVDA (est. $1.76) the same day speak to the software/AI leg.

What would invalidate

  • Sell-side clusters appear in the same tickers — a qualifying sell pair in HD, MSFT or ADBE in the next window would restore the two-sided pattern our April coverage documented and dissolve the 3–0 read.
  • Member counts fall back below three — clusters that do not repeat would mark this as a filing-calendar coincidence rather than an emerging configuration.
  • Midpoints repeat unchanged — a third consecutive appearance of the same band values across unrelated names would confirm the routine-allocation explanation and remove any residual signal content.
  • Attention displaces disclosure — if the MSFT overlap proves to be a function of the 273-ticker news pressure flag rather than independent filing behaviour, the single point of convergence between the two flagged checks disappears.
